1. Acceptance of Terms
These Terms & Conditions (“Terms”) apply to all services and digital products offered by 365neo Digital Services (“365neo”, “we”, “us”, “our”). By using our website, requesting a quotation, or signing a proposal or contract, you agree to be bound by these Terms.
2. Services Provided
365neo provides, among others, the following services:
- Web and mobile app design and development
- Custom software development and integration
- Cloud, hosting and infrastructure services
- IT support, helpdesk and managed services
- Consultancy, UX/UI and digital strategy
- Other technology services as agreed in a Service Agreement
3. Client Responsibilities
You agree to:
- Provide accurate and complete information required for the project
- Supply content, access and approvals in a timely manner
- Ensure that submitted content complies with applicable laws in Bahrain
- Cooperate with 365neo to facilitate successful delivery
4. Fees, Payments & Billing
Fees and payment terms are defined in the relevant quotation, proposal or invoice. Unless otherwise specified:
- Prices may be quoted in BHD or other agreed currency
- Deposits may be required before work starts
- Late or unpaid invoices may result in suspension of services
5. Intellectual Property
Upon full payment, you receive ownership of the final deliverables created specifically for you, unless otherwise agreed in writing. 365neo retains ownership of:
- Internal tools, frameworks and libraries
- Generic or reusable components developed during the project
- Its own branding and know-how
365neo may showcase your project in its portfolio unless restricted by NDA or a specific contract clause.
6. Project Delivery & Changes
Project timelines are estimates based on the agreed scope. Changes or delays in approvals may require timeline and fee adjustments. Acceptance of a deliverable occurs when you confirm in writing, use it in production, or when an agreed acceptance period ends without substantial objections.
7. Support & Maintenance
Support and maintenance are provided according to your selected package or Service Agreement. Unless explicitly included, ongoing support after delivery is chargeable.
8. Confidentiality & Data Protection
Both parties agree to keep confidential information private and to use it only for the purposes of the project. 365neo processes personal data in compliance with Bahrain law and as described in our Privacy Policy.
9. Limitation of Liability
To the maximum extent permitted by law, 365neo is not liable for indirect or consequential loss, including loss of profit, data or business opportunities. Our total liability in any case is limited to the amount paid for the specific service giving rise to the claim.
10. Compliance with Bahrain Law
365neo operates under the laws of the Kingdom of Bahrain, including the Bahrain Personal Data Protection Law (PDPL) and relevant commercial and electronic transaction regulations. You are responsible for ensuring that your use of our services and content complies with Bahraini law and any other applicable laws.
11. Cancellations & Refunds
Cancellation must be requested in writing. Work already completed and non-recoverable costs will be invoiced. Upfront payments may only be refunded when no work has started and no costs have been incurred, subject to any specific terms in your Service Agreement.
12. Third-Party Services
Our solutions may rely on third-party APIs, plugins, hosting or payment services. These are governed by their own terms and privacy policies. 365neo is not responsible for downtime, data loss or issues caused by such third parties beyond our reasonable control.
13. Suspension or Termination
We may suspend or terminate services if invoices remain unpaid, if you breach these Terms, or if we are required to do so by law. Upon termination, all unpaid amounts become immediately due. Clauses relating to payment, IP ownership, confidentiality and liability survive termination.
14. Changes to These Terms
We may modify these Terms from time to time. The updated version will be published on this page with a new “Last updated” date. Continued use of our services means you accept the revised Terms.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Kingdom of Bahrain. Any dispute will first be addressed through good-faith negotiations. If not resolved, it shall be submitted to the competent courts in Bahrain.
